Harbor Ridge Advisory

Terms of Service

LAST UPDATED: March 2026

These terms apply when you use harborridgeadvisory.com or engage Harbor Ridge Advisory, LLC (“Harbor Ridge”, “we”, “us”). By using the site you agree to them. If you engage us, the engagement letter for that work also applies, and where the two differ, the engagement letter wins.

What we do

Harbor Ridge provides senior treasury advisory services to private equity portfolio companies and middle-market businesses: liquidity visibility and cash control, working capital optimization, capital structure and banking strategy, treasury infrastructure, and interim or fractional treasury leadership. What a given engagement includes is set out in its engagement letter, not on this website.

This is not legal, tax, accounting or investment advice

Our work is treasury and financial management advice. It is not legal advice, tax advice, accounting or audit services, or a substitute for your auditors. Nothing we provide creates an attorney-client relationship.

Harbor Ridge is not a registered investment adviser or a broker-dealer, and nothing on this site or in our work is a recommendation to buy or sell any security. Advice about your company’s own cash, debt and hedging is given to the company as its advisor, in the ordinary course of corporate treasury management.

You should take your own legal, tax and accounting advice on any transaction we help you evaluate.

No guaranteed results

We promise the work described in your engagement letter, performed with professional care. We do not guarantee any financial outcome — not an amount of cash released, a forecast accuracy, covenant headroom, a credit rating, a financing outcome or a valuation. Results depend on many things outside our control, including your markets, your counterparties, your lenders and how our recommendations are implemented.

Any figures, ranges or illustrations shown on this website or in proposals are examples for discussion, not projections of what your business will achieve.

Your part

  • Give us accurate and reasonably complete information, and tell us when something changes.
  • Make sure you have the right to share what you send us, including information belonging to lenders, sponsors or third parties.
  • Decisions remain yours. We advise; your management and board decide and are responsible for what is implemented.
  • Tell us promptly if you believe anything we have delivered is wrong, so we can correct it.

Independence and conflicts

We will tell you if we become aware of a conflict between your interests and those of another client, and we will not act where a conflict cannot properly be managed. Harbor Ridge’s principal holds a full-time position outside the firm; engagements are accepted only where they do not conflict with that role.

Fees and payment

  • Fees, scope and the payment schedule are set in the engagement letter for each engagement.
  • Invoices are payable on the terms stated on the invoice.
  • Any fee range shown on this website is indicative and is not an offer.

Confidentiality

We keep your non-public information confidential and use it only to perform your engagement. We will not use your name, logo, figures or results in our marketing without your written permission. Where you require a separate non-disclosure agreement, we will sign one.

Who owns the work

Once our fees are paid, you own the deliverables we prepare for you — your forecast model, analysis, memos and reports — and you may use them within your business as you see fit. Harbor Ridge retains ownership of its own methods, frameworks, templates and tools, including those used to produce your deliverables, and may reuse general know-how. Information you give us remains yours.

Limits on our liability

To the extent the law allows, Harbor Ridge’s total liability for any claim connected with an engagement is limited to the fees paid to us for that engagement in the twelve months before the claim. We are not liable for indirect or consequential losses, including lost profits, lost financing or lost opportunity. Nothing in these terms limits liability that cannot be limited by law.

Ending an engagement

Either of us may end an engagement on the notice set out in the engagement letter. We may decline or stop work that would be unlawful, misleading, or outside our professional competence, and will refund any prepaid fee for work not yet performed.

Using this website

Please do not misuse the site, for example by sending spam through the contact form or attempting to compromise its security. The content of this site, the Harbor Ridge Advisory name and the lighthouse mark belong to us.

Changes to these terms

We may update these terms. The date at the top shows the latest version. Changes do not affect engagements already underway.

Governing law

These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules.
